Low budget PC(cpu) upgrade. Help needed

Hello, i have a system with the following spec
CPU: AMD Athlon 64 x2 3800+ (2,0)
Mobo: Asrock N68C GS FX
Ram: Geil 2x1gb DDR2 800
GPU: Gigabyte HD6670 1gb
psu: Raptox 400w

I think its the CPU that slows down the systems performance. The CPU limits my choices for RAM too as it works only with ddr2 (max 3gb).

My thought: As my mobo has ddr3 slots too for ram and supports AM2/AM3/AM3+ CPU i want to buy a cheap CPU that lets me use DDR3 ram.

What about AMD Athlon II x2 270 (http://www.skroutz.gr/s/361541/AMD-Athlon-II-X2-270-Box.html) and some ddr3 Ram (1066 max spd for this CPU) ?

I m thinking of going with the cheapest option available, because everytime i look something better i want to go for FX6300 (its around 130 euros in Greece while Athlon II x2 270 3.4 is around 45 and Athlon II x4 3.0 is around 70).
My point is to upgrade the cpu so i can use more than 2-3gb of RAM and ddr3 type.
So with Athlon II x2 270 3.4 (http://www.skroutz.gr/s/361541/AMD-Athlon-II-X2-270-Box.html) (45 euros) and ddr3 RAM (~35 euros for 4gb and 60 for 8gb) i need a total of 80-100 euros. Will the performance of the system be satisfying with that upgrade?
 
The limitation on your RAMs is likely due to your operating system. AsRock specs up to 8GB of RAMs

***Due to the operating system limitation, the actual memory size may be less than 4GB for the reservation for system usage under Windows® 32-bit OS. For Windows® 64-bit OS with 64-bit CPU, there is no such limitation.

I suggested the Propus quad simply because it will move forward to AM3+ when you are ready, and should perform quite well.

It's normally best to purchase qualified memory for your motherboard. It's not a requirement, but it gives you the right to complain (loudly) to the OEM if issues arise (you built to their specs!).
