Computer Randomly Freezes

Hello everyone,
I am currently having a strange issue. I have had my desktop randomly freeze on me several times over the past week. Typically happends every 40 minutes or so now. Ive also noticed the computer not coming out of sleep mode. I have wiped my hdd, and reinstalled on another hdd. I have my newest video drivers (there are no chipset drivers for my mobo for Win 7). I have reseated the RAM and ran Memtest with no failures after three hours of running. I have reseated the CPU and Video Card. The PSU is fairly new, so I dont believe there to be an issue there. When it freezes it can be in something as simple as web browsing or while benchmarking. It forces me to do a hard restart. I've done quite a bit of searching, and I believe its the motherboard going out. I appreciate any insight!

Have you tried updating the bios? Cuss I know if there is an update for the bios it will most likely fix that...
Here is a program if you download and install it. Then copy the summery of the details in you next reply to me then I can post a link to the download for the latest BIOS.
