My specs:-

Intel core2duo e4500 @ 2.2ghz
Gigabyte 945gcmx-s2 motherboard
2 gb ddr2 ram @ 667mhz
AMD HD 6670 1 gd ddr3
windows 7 ultimate x86
PSU 450 watt

Please tell me a safe overclocking limit for my CPU ONLY. i want it to be atleast 2.8 ghz.

to overclock a CPU,first thing you should do is change your stock cooler and upgrade to some better one.you will get much better results and your CPU will be stable after good amount of OC since OCing your CPU will generate extra heat.if you are new and haven't tried it before then I highly recommend reading some guides to get rough idea.

most of the time,overclocking should be done using your motherboard BIOS.you need t have a overclocking option in BIOS to do the overclocking.if you are using a branded PC like Dell,HP etc then most of the time they lock the overclocking option in BIOS so you cannot overclock in such case.

Do a trial and error method.
Change your FSB from 200 to 270 and run Prime 95 or Orthos for at least 6 hours and check for its stability. If the result is unstable then lower down your FSB to 266.
Repeat the Cycle till you get a sufficient stability.
Do not change the voltage since you have a stock cooler!
