what do i need to change overclocking inspiron 570

ok i am going to ask alot of questions in this one so let me start. is changing my processor and heatsink fan and other fans (only have two-cpu and exhaust fan) is it going to void my dell warranty if it's not what fans and processor because im overclocking also i have a 04gjjt mobo 300w psu oh yea its a dell inspiron 570 have a gtx 650 and stock amd phenom ii x4 850 processor 3.30 ghz can't overclock that and do i need a new psu you just tell me if i do need one because i want to achieve a 4.0 ghz or higher clock thanks answer fast!!! ps im a little bit new to over clocking my budget is $100.
 
More than likely your warranty has expired already (unless extended) anyway, that's neither here nor there. The problem here is Dell has locked any overclocking options out of the motherboard which makes it near impossible to alter clocks upward. If considering replacing the CPU, I'm going to suggest replacing the whole system as a more economical route - you're looking at replacing the CPU, motherboard, PSU and possibly the case at a minimum (that's almost an entire new build)
