I would go for the ASrock one... MSI is well known for its shitty PWM circuit and overclocking headroom. Still if you are not going to OC too hard. It will be "okay" only because its cheaper and well packed.

The ASrock one will get you no troubles to 4.0ghz and upper. I had one and my Non black edition Phenom II could reach 4.0ghz with a modest 1.45v core, just FSB overclocking.

For your Black edition processor, overcloking with that board will a breeze.
