They are almost at the same price but one is ATX and another is MATX.
So the question would be-Which motherboard is better?(ports, OC etc.)

Solution
You're not being very specific here. Do you mean Asrock Z77 Pro3, Z75 Pro3, B75 Pro3, or something else? Vs. the Z77 Pro4-M?

Assuming it's the Z77 Pro3 (or nearly identical Z75 Pro3) vs. the Z77 Pro4-M, Pro3 ditches the DVI output for the integrated graphics (retaining the HDMI and D-sub/VGA outputs).
The Pro4-M has 4+2 power phases vs. 4+1 on the Pro3. On the other hand, it has smaller VRM heatsinks (differences which offset each other to some extent).

The Pro4-M has a third full-size PCIe slot (at 2.0 x1 bandwidth) while the Pro3 has two classic PCI slots.
The Pro4-M adds 2 SATA3 connectors with an Asmedia controller (so they're nowhere near as good as the 2 native SATA3 connectors that the boards have in common). One of these is...

One of these is shared with an added eSATA connector, so you can either use the internal connector or the eSATA connector, not both at the same time.
The Pro4-M adds a print port header and a TPM header.

The Pro4-M apparently drops support for what Asrock calls No-K OC, a feature aimed at overclocking Turbo Boost-enabled non-K processors (basically any Core i5s and i7s that are not K models).

Overall, the Pro4-M is slightly superior, unless you happen to need classic PCI slots. But most of the added features are only rarely going to make a difference. Seriously, who uses printer ports these days?
