Weird computer problem

First of all i am sorry if this is a zombie post but well, i need some help fast before i RMA anything.

i have this weird computer problem, that it's eating me inside so to speak

*Simptoms:

*Sometimes my computer freezes randomly, then when i try a hard reset, the cpu light stays lit, usually it posts after i keep pushing the restart button and nudge the cpu cooler a little.

*About 1-2% of the time 3 short 2 short or even vga beeps came out but they don't come often, it was because of their place, usually got fixed with the repositioning of the components.

*My computer specs:

8gb ram ddr3 1600mhz kingston hyperx (2x2 , NON ECC/ 2x2 XMP) (1.65/1.9v)
1tb hdd wd caviar black
cooler master gx750w PSU
msi amd radeon 7850 video card 1 gb
cooler master hyper 212 evo cooler.


*I tried the following:

Reseat the components 5-6 times
Apply new thermal compound on cpu
Clean the dust out of the components and make sure there is no thermal compound on the cpu pins
used another PSU (antec 1000w)
used memtest86 ( no errors)



Could it be a faulty cpu or motherboard, perhaps both?
