I was wondering if the Cooler Master 212 EVO would be good for overclocking an i5 3570k processor? Also how well will it fit in a cooler master elite 430 case with a gigabyte ga-z77x-ud3h mobo, with out interfering with the memory or any other other parts of my computer?

Last, if you don't recommend the EVO then please give me a suggestion on what you recommend that is in the same price range of about $30 and why you would choose that one.

Thanks!

It would be a tight fit, but the Cooler Master Hyper 212 EVO will fit with a few millimeters to spare. As for overclocking, it depends how far you wish to overclock the i5. It can handle light overclocking.
