New motherboard, boots "half-way" and stops

I just installed a new motherboard an older HP computer. The computer boots normally at first, i see the GPU info screen, then the BIOS, then a screen that tells me what HD. Then the screen goes black and nothing else happens.

I can enter BIOS, and everything seems to be in order. The bios shows the correct CPU, memory, drives, etc.

I tried to boot from a disk. After the above screen I get a prompt "to boot from disk press any button"

when you press a button the screen goes black with a row of "H"s all the way down the left side.

Thoughts?

ASUS M2V-MX motherboard
AMD Athlon 64 X2 +4800
ATI Radeon 9400 GPU
2gb RAM
120gb HDD w/Windows 7

the new mobo is set to IDE.

I'm trying to flash the bios right now using a USB. The first couple attempts didn't work, i boot with the USB drive in containing the file downloaded from ASUS.com but when i open the ASUS EZ Flash 2 utility in the BIOS set up it freezes and the computer has to be manually shut down.

I'm reformatting my flash drive and putting only the BIOS file on it right now. Going to see if this works.

ASUS EZ Flash 2 says that the current bios is ver. 0411, so it definitely needs an update. Now if i can get it to update...

Update:

I changed the bios setting to disable quick boot and the logo screen so i could see the full POST startup.

It runs as previous when no USB drive is plugged in. but when I plug in the USB drive with the new bios it looks like this

and that's it, i just hangs there indefinitely
 

If you can't get it to work, try to downgrade the cpu in bios. Instead of auto, set a low multiplier.

I noticed that the POST said 1024mb OK (2048MB Installed), so i pulled the older of the 2 DIMMS and restarted.

The computer booted up to windows, I tried to boot windows normally, but it would just go ti the windows loading logo and then start booting all over again.

I'm booting now in Startup Repair mode, and so far it's loaded to the point of "attempting repairs..."

how long should i let it sit on "attempting repairs..." before being concerned?
