System reboots nonstop, p8z77v-LX asus

Hey there guys, im a long time user of the forum and all the knowledge it has to offer, so hopefully i can get my problem sorted out. Well heres the system im working with.

Asus P8Z77V-LX mobo
Intel i5 3570k 3.4gh/z
Zotac gtx560
Gskill Trident 4gb (1600 mh/z)
4gb Ram (non major brand)
OCZ 120gb SSD (boot drive)
1TB Seagate HDD 7200 rpm

Basically the problem ive been having started when i started to tinker with overclocking on my new system. worked flawlessy but at one point when i rebooted, the lights and fans would engage, but i would get NO POST BEEP and the machine would reboot. it would do this endlessly untill i remove the power supply, clear my CMOS, and start it back up. even after doing the this system reboots 2-4 times then finally boots into windows ( 7 64-Bit). i warrantied the motherboard and the graphics card, and im having the same issues.
