i have the Phenom X4 9850 right now, and i want to buy the Phenom 2 X4 940. is this upgrade worth it? also, what are some places that i could find one (if ebay is the only place can anyone comment on whether or not it's reliable?)
Next to no difference in performance. In some benches, it does better, in some, it does worse. check out the comparison here.

okay, but it runs at a higher speed and i plan on overclocking by 500 MHZ. a 3.0GHz CPU with a 500MHz overclock would be 3.5 as opposed to a 2.5GHz CPU with a 500MHz which would be at just 3.0GHz. see what i mean?

Look at the link, the 3.0 vs the 2.5 and they are the same specs and even the 2.5 does better in some benches over the 3.0, so take it how you want it, but it seems like a pointless upgrade. a 500mhz overclock may give a few more FPS but it doesn't help the limitations of the architecture as a whole.
The 940 is a remarkable dinosaur. I have one. You will need a motherboard made for it. It consumes 140 watts and the vast majority of boards are limited to under 100. If I remember correctly, it has to be an AM2+ board, nothing else.
