I currently have a Foxconn A74GA motherboard and a AMD Athlon II x2 245 processor. I am thinking about upgrading to a Phenom II x4 945. My motherboard has a 95W max CPU limit. The Phenom II x4 945 is 95W. Does this mean I would not be able to overclock? And would I be able to overclock with that motherboard in the first place? Thanks in advance for the help.

No, it does not. I have a Phenom II x4 965, which is a 125W CPU, that I run on a 125W board, and it overclocks fine. What I'd be more concerned about is whether your motherboard supports overclocking. Go into your BIOS and look for an option for your CPU multiplier.
