I have an old desktop colleting dust in my shed. Currently I use a laptop with an AMD Athlon II p340 2.2 ghz.

The old desktop has a Pentium 4. I would like to upgrade it for gaming. I want to upgrade the CPU and I probably have to upgrade the motherboard too. I want a graphics card as well. I never max out settings for games and I just play at medium.

I want something decent that is better than my current laptop ( something better than 18-20 fps at minimum settings ). I am on a budget of ~200-240 dollars.

i'd hate to break it to you but....

to get a computer to play new games at medium settings you'd probably have to spend twice your budget. Just about the only things you could salvage out of that old pc is the cd drive, case and MAYBE the power supply. The cheapest upgrade for that would probably be an AMD apu (A8 or A10) which would require mobo, cpu, and ram. You'd probably have to get a new hard drive as well, as yours might be IDE and I don't think new mobos have IDE connections. If it is sata, it would be sata I.
