ASRock z75 Pro3 Motherboard shutdown issues

Hello,
I'm having issues with my ASRock z75 Pro3 motherboard.
From the first day of purchase, the motherboard refuses to completely shutdown when I try to shutdown the system via the OS. I have tried this on both Windows 7 and Ubuntu 12.04 and both of them are unable to shutdown the system completely.

While the monitor turns off and says no signal, All the LEDs and fans remain on.The USB devices also sometimes remain on.

There is a rare case when I try to restart the system and it actually shuts down(completely)..I've noticed this happening when there are updates to install and such.

Another quirky behaviour of my system is that even upon restart, it takes a good 10seconds or so after the monitor turns off for the system to actually power down completely and takes another 3~5 seconds to come back up. Is this how newer motherboards/power supplies work?

My PC configuration is as follows

CPU : Intel i5 P3350P
RAM : Corsair Vengeance 8 GB (2X4 GB) MOBO: PC3-12800 1600mHz DDR3
MOBO : ASRock Z75 PRO3
HDD : Seagate Barracuda 500 GB HDD SATA
GFX : HIS 7850 Fan 2 GB GDDR5 PCI-E Graphics Card

*EDIT* While the motherboard was beeping when there was no GPU and when the CPU power cables were not connected, the motherboard never beeps for a successful POST.
After a quick look at the AMI UEFI BIOS beep codes, this seems to suggest Bad CPU or Bad Memory..I have been using the system for about a month now and have had no other issues other than above mentioned power-off/restart issue.

My BIOS shows z75 Pro3 p1.80

I'm assuming p1.80 is my BIOS version.

*EDIT* I checked the ASRock website..1.80 seems to be the latest

I did..I believe that this might have something to do with ACPI power states. I've tried testing those. I found this sleep state testing software
http://www.passmark.com/products/sleeper.htm It hung for S4 sleep state. I had to hard power off and turn it back on.

I don't think this would have anything to do with safe mode in particular as my PC fails to shut down in Ubuntu as well.
