Basically the title says it all.

I'm planning to replace my Corsair 350D exhaust 120mm Fan and am deciding between the Corsair SP quiet Edition with 23dba or the performance edition with a sound output of 35dba, but with about 2.5x the air pressure and 2x the airflow. It will be about 4 feet away from me under a wooden table with wooden walls on all 3 sides, besides the front.

How noticeable will the noise be at 35dba?

The Corsair SP fans are design for static pressure and to work with radiators. They also work for intake. For an exhaust the AF or air flow would work better. An exhaust fans needs to flow as much air as possible. Since the computer is going to be boxed in it the noise should not be noticeable.

So even if the distance from the back of my PC case to the wall is only about a few inches at most, I should just use a AF fan instead?

I'm already planning to put 2 Corsair AF 140mm silent operation fans into the front because there is no SP 140mm. Even if I don't have HDD bays in the way, should I still have SP fans as intake?

Even with a few inches the AF fans will work fine. The SP fans create a tight focus flow to over come resistance but the wall can create a back wave and keep the hot air from getting out. If you have hd in the front of the case the SP will work better, but if there's no obstructions the AF will work fine.
