Installing FX 5500 PCI VGA

Hi,
I have installed pci vga card Nvidia GeForce FX5500 on my intel mobo 845GVSR.

Driver installation in Windows XP Pro. is not going well... (i obtained the latest drivers from Nvidia/GeForce website)
the restart after driver installation shows the error code 10 this device cannot start msg. in device manager.
tried uninstalling/reinstalling/update driver method many no. of times but the result is same ...any resolve to the issue ?

note: 1. This card working fine in same PCI slot in windows Vista .
2. I have disabled onboard graphics in BIOS.
3. XP will not show any display but will boot fully when monitor is attached to this VGA card (fx5500)(i can hear booting music.

Mobo as said earlier intel 845GVSR
Processor Celeron 2.4 GHz
RAM 3GB DDR
PSU 350 Watt
HDD 500GB Seagate(WinXP SP3 Installed) 250GB Seagate (Vista installed)
Vista is working fine with same specs combined with FX5500 Nvidia GeForce

I haven't got a solution, but I vaguely recall the same or similar problem (a long time ago, this is real old stuff). It might have been error code 12 or something.
You might want to try an OLDER driver. Not much point in re-installing the same driver over and over.
If that doesn't work, can you install XP from scratch? That helps sometimes.
Other than that I suggest that the video card may be slightly faulty. I know that it works fine in Vista, but video cards are not necessarily either 100% perfect or totally 100% dead.
Why do you even want to run XP? You have 3 GB of RAM and Vista.
Or how about using an AGP card instead?
By the way that is a dreadful old CPU. Time to put that puppy to sleep.
