currently running:
amd phenom II x4 965
ati HD 5750
4gb ram
gigabyte GA-890GPA-UD3H

Wanted to know if there would be any issues if I upgraded the mobo , cpu and ram with the old gpu? as I'm tight on cash
I'm considering:

You are comparing two motherboards that offer the same basic features. One is Micro-ATX small form factor and the other is standard ATX. Either will work, but you will have less options to upgrade with the Micro-ATX due to slot configurations. For single video card setups it really doesn't matter.
