Will upgrading my CPU help this setup?

I'm by no means running the latest and greatest but my CPU is the oldest piece so im thinking of upgrading it but need the advice of people who know more than me about performance. I have:
12 gigs RAM
ASUS M4A78LT-M motherboard
Sapphire AMD Radeon HD 6850 1GB PCI-E Video Card
AMD Athlon II X2 255 processor 3.10 ghz

I was looking at this: AMD Phenom II X4 965 Black Edition Deneb 3.4GHz Socket AM3 125W Quad-Core Processor

primarily interested in gaming performance (and I'm not playing the most graphic intensive games) and while I understand I'm not running components that will yield top performance, I really dont know if this small investment will provide me a boost at all.

Any help GREATLY appreciated.

You will definitely see a boost from that upgrade, especially if you purchase a decent cooler and overclock it (the coolermaster hyper 212 evo being the staple budget choice on these forums @$25-30). More and more games are using four cores, and the 965 is a solid choice.

compared to your old cpu, the phenom will immensely improve your rig. giving you 2 extra cores to work with certainly helps in heavily threaded workloads. in games, expect your rig to perform at least 30~50% better than that old athlon of yours and you have all the good markings of a balanced set up. likewise, you are good to go.
