Windows XP upgrade to 7???

So I'm building my own PC for the first time. I am looking to get windows 7, however also looking to save money. Through my college discount I can get a free version of windows 7 ultimate, however its only an upgrade version and not the OEM version that I need. The other issue is that the Windows 7 is a download, so i couldn't access it without first installing another OS on my computer first.

Could I potentially buy XP oem for like 50$ and then put that on my newly build PC? Then from there I would use my free student upgrade to the 64bit version of windows 7 ultimate. I know I would have to do a clean install, but that shouldn't be an issue, correct? Would all of this work, or would I be better off just buying windows 7 oem and paying the extra 50$?

Again to clarify, the win 7 upgrade is a download from my school's website. I would be able to clean install windows 7 (since i'd be going from 32bit to 64bit) from this download, correct?

Okay great thank, this is very helpful!

My biggest concern, though, is that the upgrade will not be coming from an upgrade disk as per the usual, but rather from a download off my school's website. Will this affect anything, potentially cause problems, or make it more difficult? Or does not having the disk affect very little?
