The second one as it features the ACX cooler (better cooler will help the boost clock raise more as cooling will be better)

they're surely the same card but with different cooler, that's it... 3gb vs 2gb of ram, unless you run more than 1 monitor don't really affect the performance...

i would pick the as the cooler will help achieve higher boost clock, that's it...

Fry's says one has 2 GB, one has 3 GB but I believe both are actually 2GB

personally, I'd take the 770s from Asus, MSI or Gigabyte as historically they have custom PCB's and VRM's with more phases for better OC ability
