faulty mis z-77a g45 gaming mobo

well i have recently bought my msi g45 gaming mobo and was pretty excited to put it into my system. I swapped my cpu (3770k) and installed my ram (corsair vengence 1866mhz) and the video card (gtx 650) and my psu (xtreme gear 850w (keep in mind this has no 80+ rating).

The pc actually booted and I was able to log into windows and everything was fine. My cpu was oc'ed to 4.2 ghz using oc genie II and the cpu temp was around 40 degrees Celsius. while i was playing around, my pc just shut off. I tried to power it on again and nothing. when i say nothing i mean no signs of life, no leds, no anything, and yes my outlet was working and the power on the psu was on, and yes the power switch i/o was in the right place, and yes the 24 pin and 8 pin were solidly secured. What do u think is the problem? I am rmaing the product at the moment.

is it a problem with the psu?

or is it a problem with the mobo itself?
