Sorry, there is no point in upgrading your PC. It is just too old. You'll also be facing many compatibility problems.
Also you haven't stated what you need your pc for. Gaming? Office?

Luckily, you can actually make a nice pc for 400$.

PCPartPicker part list: http://pcpartpicker.com/p/1djss
Price breakdown by merchant: http://pcpartpicker.com/p/1djss/by_merchant/
Benchmarks: http://pcpartpicker.com/p/1djss/benchmarks/

CPU: Intel Core i3-3220 3.3GHz Dual-Core Processor ($109.99 @ Amazon)
Motherboard: ASRock B75M-DGS R2.0...
If that's the one that's just called "Pentium 4 2.8", that's about 11 years old. If it's a Pentium 4 running at 2.8 GHz, it might only be 8 years old. Either way, I'd suggest a whole new build. You might be able to keep the case, depending on what model you have, and you'll probably be able to keep your peripherals, but just about everything else should be replaced.

What PSU do you have? Be careful, don't put something old and bad on a new pc.

In that case, go with this mobo:

http://pcpartpicker.com/part/asus-motherboard-p8b75mlxplus
(Asus is more reliable, imho)

and this gpu (nvidia):

http://pcpartpicker.com/part/msi-video-card-n650ti2gd5ocbeboost

or AMD:

http://pcpartpicker.com/part/msi-video-card-r78502gd5oc

Both GPUs are about the same, it is your choice.
That's about it. I think it is a very nice pc for the money.

I go with the 7850 but, I want to say, that if I want to upgrade the gpu on 6 or 8 months, to a 7990 or 8000 series, I will not have problems with the power supply?

Please give the exact model and brand of your power supply, and I will check.

That is a nice power supply. It can easily power that intel i3 cpu and HD7850.
But you don't have to wait (it is up to you, of course), because even 7770 or 650ti can easily run *any* game at 1366x768.

Good choices: 7770 @ 90 $
or 650ti @ 105 $.
That 650ti is a very good card for the money.
