If i replace my motherboard, do i need to download windows again? And do I need a new processor and Ram?

Windows is tied to the motherboard (rather than the hard drive or any other part) so unless you want to mess with Linux and what-not, just reinstall Windows and you'll be good to go.

You do not need to buy a new CPU or RAM because that motherboard is of the same socket type as your current motherboard (LGA1155) so you do not need to have any new parts. :) Other than that second GTX 670 you're getting ;)
If you have a retail copy of windows (you bought windows by itself), you will just need to reinstall it. If you have an OEM version of windows (windows came with your computer), you will probably need to buy a retail copy.

Your CPU and RAM will work with the new motherboard.

No, may have to go through Win authentication again, no big deal....BUild, boot from your HD, Win will load default drivers and you should be up and running. Then update all the new mobo drivers from their web site, and run a registry checker like Wise to get rid of the old entries....May be a lot of folks tell you you can't do this, but have already had about 20+ here in the forums do this, even with OEM copies of Win and no problems...it's MicroSofts perogative to issue a new code or not and they generally always do
