will this cpu fit in this case and over the RAM

hey ive been looking around and checking but im not sure if this cpu:
Cooler Master Hyper 212 EVO (120mm)

will fit in this case:
NZXT Phantom 410 Midi Tower Chassis

and since the closest RAM slot to the cpu cooler will be in use im also wondering if the cooler will fit over the RAM sticks or will i have to adjust the cpu cooler to fit.

RAM sticks:
Corsair CMZ8GX3M2A2133C11B Vengeance 8GB (2x8GB) DDR3 2133 Mhz CL11 XMP Performance Desktop Memory Kit Blue

It will fit if you use the low profile version of vengeance ram. There really is no reason to get the high profile version because that ram has such a low wattage it dosent produce much heat. From what I have seen only on some boards does it clear the high profile ram, so buy the low profile if you can.
