Windows XP SP1 Re-activation

I am running Windows XP Service Pack 1 on what I believe to be a Compaq PC-1238. I am very limited by the hardware and am thus upgrading as much of it as I can. Though due to these hardware changes, Windows has given me a three-day warning saying that I have to re-activate Windows. I have upgraded the optical drive, video card, RAM, and diskette drive, and have exchanged the NIC with a dial-up sound card. I also plan to upgrade the processor and transfer Windows with all my data to another drive if possible. I have all the original hardware, if it will help. This computer is second-hand.
I know that there is more than one way to address this issue, and I would appreciate some advice on the best course of action.

With all that work you are doing, you could have bought a faster used computer. You can find a used dual-core computer for $100, or less sometimes. If it's a 1238, it's a laptop, I have seen used laptops for $100 that are a lot better than this one. You will not get far in upgrading this to make it faster. Find an IBM T43, should be cheap and they are built well, just make sure the screen is good. I've even seen some IBM T60 dual core computers for around $100.

Also, why would you change a network card for a dial-up modem (I am guessing you meant Modem and not Sound Card like you wrote). That's not an upgrade at all, even an old 10mb network card is a lot faster than dial-up unless you only have dial-up to work with.
