system upgrade from phenom 965 BE, need cpu/mobo/ram

Purpose: for gaming 1080p single monitor at ultra settings and AA (where I can) for future proof rig hopefully for few years.

games: Crysis 3, Metro Last light, HoN, BF3 + 4, Witcher 2 and 3, skyrim, gta 5, watch dogs. Upcoming titles 2013/2014

Problem:I only Have a budget of about $250-350 and want a PC that will perform significantly better than my 965 phenom for the purposes listed. I know that you'll all probably recommend this:

i5-3570k + Asrock z77 Extreme4 + Crucial Ballistix 1x8GB DDR3 = $354 on newegg , which comes with the free ram at the moment.

But let us also play on the fact that I'd like the next best step down and can't afford the dream upgrade above and only wanna spend about $300 max, what would be the next best combo?

keep in mind I need new mobo/cpu/ram (ddr3)

current build :

- Phenom 965 BE OC'd to 3.8 GHz (multiplier only)

- Gigabyte GA-MA790x-UD4P am2+

- 4x1GB G.Skill DDR2 RAM

- Gigabyte gtx 760 OC Windforce (OC'd on top of factory OC w/ boost 2.0
pushing it to 1332MHz on the core and 7200 MHz memory clock)

- Antec Earthwatts 650W PSU

-WD 150 GB HD

-Corsair H60 CPU cooler

I don't think there is anything that would be a significant upgrade over your current build that doesn't involve a GPU upgrade.

You can't SLI on your current board, or a 2nd 760 would be an option, though you'd likely need a new PSU.
