Upgrading processor to pentium D from pentium 4

I have an old HP Pavilion Media Center TV m7550kr Desktop PC.
My Specs are as Follows:
Pentium 4 524 3.06ghz
2gb system memory
8600gt ddr2 512mb
Asterope 2 motherboard
Windows 7(32- bit)
300w PSU
I want to upgrade the cpu to a pentium d 945 as it is the best my motherboard will support however i have the feeling that i will need a new psu (I AM NOT EXPECTING TO FURTHER UPGRADE THIS MACHINE AS I HAVE A CORE2 QUAD computer which i use for gaming) Will i be able to upgrade without a new PSU?
EXPERTS HELP WOULD BE REALLY APPRECIATED

nope you wouldn't need a new psu you're looking at a 5-10 watt difference if even depending which P-D you choose

yep you would be able to use the stock cooler since its the same socket type (LGA 775) and its actually just a 9W difference if you're maxing it out, otherwise it actually consumes less while idling. So you'd be good to go
