replacing the fan on a "Hyper 212" cooler with a noctua ?

Not necessarily. It may be quieter, but it will produce less pressure to do that. It depends on the model too as they run at different rpms. What sort of difference are you looking for? There are a few website in which 120mm fans were compared on radiators and heatsinks. I run my 212 EVO with push/pull config with Coolermaster EVO fans. I have tried dozens of different models too, but for me, they work the best.

How far did you OC your system?
If not by much - I still see no reason to replace the Hyper 212. It's really great!

Give the Noctua to a friend / sell it to someone. Will be best :)

He has a Hyper 212 currently installed and he wants to replace it with a Noctua NH-D14.
 
The Noctua fan, no matter what model, will probably be quieter at full tilt. You probably won't realistically notice an appreciable difference at 1200 RPM and below. The Noctua fan might have lesser performance (at full tilt).

If you have both fans on hand, get a hold of prime95 and Core Temp, and do some tests! (Even better, share the results with us!)

So I kept the heat sink of the Hyper 212

All I did was replace the fan with a noctua 92mm

Wow, huge difference.

And I was using a MORE intensive CPU, the 8120 ! vs the x 635 which I replaced.

Wow, so a more intensive cpu and the results are STILL lower. amazing.
