Serious problems with computer

Hey there, I really need help coz Im out of fresh ideas.

Heres my hardware.

Prosessor Intel Core 1 Quad Q6600 2.40MHz
Mainboard ASUSTeK P5K
Shipset Intel P35/G33/G31 rev. A2
Memory 2x4Gb + 2x512Mb
Display NVIDIA GeForge GTX 460

My system HD got broken totally. I bought new one, this time better one WD caviar black 2Tb.

Installed windows 7 ultimate with all updates and SP1. After installing all needed softwares etc my computer started to freez totally. This happend about 2-6 times a day depend how much I use my computer.

I did install CPU and GPU temperature monitors, and they are in fine area. No problem there. I even installed GPU stress test software.

All hardware drivers are updated, so is chipset drivers. Have tryed different GeForge drivers, even beta ones.
Ive made memory test with 2 different programs. Ive change memory modules from my sons computer. Hard drive is tested with 2 programs.

Ive tested different SATA ports with different cable.

Installed latency monitor without help coz computer freez totally.

I installed windows 7 with 2nd time. Computerd did freez up during windows update. Installed windows 7 for the 3rd time with different media.

Installed again all updates, sp1, drivers, chipset etc. Still keep freezing. Im so sick tired of this and I really dont know what to do.

Before hard-drive got broken my computer worked just fine. I dont know whatta hell is broken now.

I really appreciate all the help I can get.

Looking for BIOS update now. I know I know I should take off those 512mb sticks but more memory is more memory :)
Like I said, I tryed this computer allso with my sons 4x1gb memory, same result.
Not any problems recognizeing my new hard drive.
