I'm getting a Corsair 350D and was curious as to if i need to get one SP120 to replace the back fan and a 140mm for the front of my case to be paired with my H100i and my Overclocked 4770K? @4.8GHZ hopefully or some where around that range

As a general rule, no. But if you really want to eke out some extra performance, by all means, go ahead.

SP fans are best left for on radiators or heatsinks. Fans with better airflow are generally what is called for when dealing with intake-outtake. (Although, in some cases, having a high static pressure intake can be advantageous.)
