my 4770k defect?

Those temps seem fairly normal for the stock cooler, so it could be a defective chip. Others here might know more about that, but I suggest you simply contact whatever place you bought it from and find out what they want you to do (if anything) to confirm that it's really defective before sending it back for a replacement.
when i change the core volt from auto to 1.104 it is stable on stock clock of 3.9 turbo on prime with temp hitting 97c which is normal for a stock cooler. so is it a defective chip? im figuring the m6e on auto is giving it 1.04 whitch is causing it to crash when the stock vcore is 1.2? am i correct here?

Possibly the chip isn't the problem. The Asus Maximus VI Extreme is a high end board designed with overclocking in mind, so perhaps the BIOS auto-adjustment for the core voltage wasn't programmed to work well with the stock cooler. I suggest you install an aftermarket cooler for it even if you're not ready to overclock it yet. 97c might not be enough to trigger automatic shutdown, but leaving it that hot for several minutes or more will most likely damage the chip.
