New Compatible Custom PC- Cannot Install Windows 7 or 8

Hi all, I have a new custom PC I built recently but I'm using my i3 540 from a while back. Upon installing Windows 7, I get the "windows is loading files" that finishes, then we get to the splash screen(starting windows). The dots appear then it BSODs mostly with no fault indicated or IRQL not less than or equal. It has also a couple of times come up with Bad Pool Header. With Windows 8, it gets to the teal windows logo and it doesn't spin, then just reboots after about 40 seconds. I've tried using USB and using DVD/CD. The ISOs I have used are from digital river with SP1. I do have genuine CD keys from MS Development.

The specs are as follows:

Intel I3 540 CPU @ 3.07GHz
Asus P7H55 motherboard Socket LGA 1156(I know it's old)
Kingston Hyper X genesis DDR3 @1600MHz (2x4GB)
Corsair Cx500 500W PSU
MSI GeForce GTX 670 OC Twin Frozr Power Edition 2048MB GDDR5 PCI-Express Graphics Card
Seagate Barracuda 7200RPM SATA 2.0TB
Zalman CNPS5X Performa CPU Fan
Ezcool K9-720B with 120mm fan LED

The issue is, well, I can't install windows 7, or 8...
I'm trying to install 64-bit but 32-bit doesn't work either. I've literally no clue as to what it is. Sometimes I get the IRQL not less or equal error but not always. Yes, I know this is usually a ram issue but I can edit my profiles, change voltages and speed and the motherboard tells me the ram is fine. It has a red light to indicate if it doesn't work, as tested with ram I know doesn't work. I've ran the diagnostics from Ultimate Boot CD too and nothing appears out of the ordinary, except the ram. With Memtest, it starts and reaches 2% really quickly, then stayed like that for 15 minutes. I have a feeling it crashes each time.
I've tried switching to ACHI, IDE and other bios settings. I've cleared CMOS, reset to default etc. The bios is also at it's latest version. I've also tried 1 stick of RAM etc.
Basically, I've no idea what the fault could be, all parts are new. The only thing I could think of is that it may be the fault of SP1 but why doesn't 8 install?
Any help is greatly appreciated. Thanks in advance.

I also tried to install Ubuntu. Gets to language select, I can neither run from USB or install to hard disk, because if I choose either, the PC restarts.

I've just tried new replacement ram and I get the same issue.

PC won't get past asus splash when in dual channel ram mode.

Finally, I don't know if this makes a difference, but my corsair psu is rated 12v 38A. My graphics card states it needs a minimum of 38A with an I7 @ 3.2ghz. But my i3 is of the older more power intensive architecture. Corsair recommends a 600w but again this is for a new i3. These are severely inflated I'm sure. A simple wattage calculator non corsair says I need 465 minus the cpu fan. That's with the old i3 that I've got. Could the PSU be the issue?

There is no intergrated graphics on this particular mobo.

This probably sounds strange, but memtest crashes on me. Literally. I've tried with brand new ram I bought last week, and I tried brand new ram I bought today. Memtest crashes. I think the issues are related to why I can't install, but I'm unsure.
