Is this motherboard upgrade worth it?

Ok quick current system specs:
fx-8320 with hyper 212 evo w/ 2 fans
16gb ddr3 1600mhz
gtx 760 gigabyte windforce
1tb WD Blue
Corsair 650W tx
Some random decent-looking case I found and upgraded with awesome looking custom built rgb led lights (color fading, flashing, disco, you name it!) and a lot of fans

I was playing splinter cell blacklist and was getting some lag on the game that wasn't caused by the video card. I'm pretty sure the cpu is the cause of this lag. So I decided to get more serious about overclocking it. However, I think the vrm on the board are causing stability issues(it has 4+1 phase) and I can't get stable past about 4.2ghz.

I have a friend that I will probably build a computer for him. He was going to buy an Alienware, but I think i managed to talk him out of it. It'll prob get an gx-6300, which uses like 95W.

So what I was thinking is I could probably get an m5a99x r2.0 evo lightly used for $70-80ish on ebay (yes, I know that ebay stuff can be in bad condition, plz don't mention it). I would be spending at least about $60 anyways on a motherboard, so I was thinking I could spend a few more $ and get a better one, swap my system's motherboard, and give him my current one. Obviously, that's a lot of work, and I only want to do it if it will make a significant difference. I finally got my hyper 212 seated well on the fx-8320, and I am not really looking forward to re-seating it.

So, what do you guys think. Worthwhile, or waste of time?

Really depends on how your rig is now, if you have a decent OC, no real need to bother unless planning to add on and your current mobo doesn't support what you are wanting to do

I'm pretty sure I can get the licence to transfer ok. Even if I can't I could use the licence with my friend's build and a new one on mine.

I also saw this one. Great price for a sabertooth, but what do you think about that crack?

Actually, my overclock is a tad bit unstable at 4.2. I also forgot to mention that I THINK that the vrm are throttling the overclock, from watching the overclock while under stress. I would like to overclock more, as I haven't hit a thermal wall yet. On prime 95, the frequency is usually at 4.2ghz but somewhat frequently falls down to 3.9 or lower, and vcore goes from 1.4 to like 1.35 or lower. Also, core 7 and 8 both usually fail the test in under a minute, and none of the others ever fail that I have seen. (maybe they are last to get power or something, and not getting enough? Or maybe a lemon module)
