I currently have a MSI G41M-P23 LGA 775 Intel G41 Micro ATX Intel Motherboard and am looking to upgrade but I am not sure what route to go so that all my other computer hardware will still work. I built the system myself despite not being to understanding of computer tech.

if the power supply is a name brand atx and the case is an atx case you can reuse them on the sandy bridge and ivory bridge cpu. the haswell cpu are so low voltage that you need one that supports the new intel cpu. for your drive and cd rom units if there sata you can reuse them but you have to format the hard drive and reinstall windows for the newer hardware. cheap new parts are h61 motherboards and cpu combos. newegg also has cheap dyi combo deals. the cheap ones are amd apu systems.

I am currently running an Intel Celeron E3400 Wolfdale 2.6GHz LGA 775 65W Dual-Core Desktop Processor. My power supply is an ATX 12v 480W. I do not want to have to upgrade everything now. I don't have the funds for it. I recently upgraded to a 1tb. HD and new ram

Then you are probably going to have to live with your existing MB. Is there an issue with it?

Here is a list of CPUs that MB supports along with the BIOS versions necessary to use them:

Other than a used CPU from someplace like ebay, I don't think you can do much. If this is a gaming PC, a graphics card upgrade would make the most difference, depending on what you have now.

If the rear USB ports are physically wore out, there's not much you can do about that other than add a USB2 or USB3 add-in card if you have a free expansion slot. I see that little board comes with a PCIe X1 slot and a PCI slot. If you have a gfx card in the PCIe X16 slot, it probably covers some or all of the PCIe X1 slot.
Examples:

Back to the MB replacement...
Here is a replacement comparable to what you have now: http://www.newegg.com/Product/Product.aspx?Item=N82E16813157359
Here is the website for the board where you can find information and downloads: http://www.asrock.com/mb/Intel/G41C-GS/
