Where is the bottleneck?(what to upgrade)

Looking to do a bit of an upgrade. Have around $300 to spend.
Computer is mostly used for gaming. Was looking to get a new GPU but concerned that older CPU or limited RAM may all ready be bottlenecking my current graphics card. Any help appreciated.

tl;dr What's the gaming performance bottleneck in my current setup?

-AMD Phenom(tm) II X4 965 Processor (OC'd to 3.7GHz)

bottleneck is definitely the processor

You would see a dramatic increase in FPS in most games if you upgrade your CPU and Motherboard to an 8350 AM3+ or an 4670K and a Z87 1150 Motherboard
