Gaming rig for 750-800 USD

I am thinking to build a new machine as my old system has become too crappy,
My old spec are.
2 gb ram
500 gb hdd
athlon x4 635 procesoor
m4n8t-m mobo
9400 gt 1 gb graphics.

This spec now gives nightmares to me.. It cannot run any new games now...
What would you suggest, an upgrade of certain parts or that of new pc..
If new rig is what you think I need, then kindly give me specs...
Gfx and mobo should be good enough... Ram , processor and hdd, I can always upgrade..

I think CPU and MoBo first. Then GFX and RAM are easy to upgrade.
