First build - budget Haswell HTPC - Questions

Hello, I'm trying to build a budget Haswell HTPC and I decided on most of the parts..
But what I got confused about is cooling - do I need a fan or a cooler? And do I need a non-stock CPU fan? (if it comes with any)
This is my final build. I've ordered the parts except the motherboard.

CPU: Intel Core i3-4130T 2.9GHz Dual-Core
Motherboard: ASRock H81M Micro ATX LGA1150
Memory: G.Skill Ripjaws X Series 4GB (2 x 2GB) DDR3-1600 Memory
HDD: Seagate Barracuda 2TB 3.5" 7200RPM Internal Hard Drive
Case: Apex DM-387 HTPC Case w/275W Power Supply

Is this good enough? Excluding I/O and OS.
Also, would you recommend the ASRock H81M or ASUS H81M-A? The notable difference for me is the ASRock has 2 onboard USB 3.0 headers and the ASUS has fanless heatsink design. Which would you recommend?
Any advice on my build is also welcome!

Use case: Watching Hi10P 1080p h.264 on TV. Current laptop just doesn't cut it. (m11x R1)

If you want a cooler, and you're not a die hard air-cooler fanatic, go with a sealed liquid cooling option. You can do some research on your own but Corsair and NZXT make a good quality sealed unit. Super easy to install, maybe even easier than a big air cooler. Just make sure your case can fit whatever size radiator you get.
