I think the OC potential for the Asus is higher, and like the cooling design better, but am anxiously waiting to get my hands on one, know a couple guys that have already used them and said they are great

According to HardOCP, the Gigabyte Windforce (Triple Fan) and the ASUS Matrix are the best HD 7970s ever released. I'm sure the same could be said for the R9-780Xs since they're the same cards. I chose the Gigabyte because I got it for $300 (-$30 mail-in-rebate) which was an absolute steal when you factor in the 3 games bundle from AMD. Here are the HardOCP reviews of the two cards:

These are the only two HD 7xxx cards that I know of that got gold awards from HardOCP because they are VERY nVidia-centric. That means that both these cards are phenomenal. I would take the Gigabyte just because it's $50 cheaper and will overclock to 1305MHz. I can tell you from my own experience that the Gigabyte Windforce is VERY quiet and very cool. It is currently running at 38C with only 25% fan speed at 1100MHz. Nobody can say that this cooling setup is anything less than stellar. :D
