I've heard that motherboards from companies like dell, compaq, etc are not able to OC. Unfortunately mine is from compaq but i wonder if my motherboard is OC capable?

Here are my motherbard's specs:

H-I41-uATX(Eton/EtonL)

Manufacturer: Foxconn
Form factor: microATX - 24.4 cm (9.6 inches) x 24.4 cm (9.6 inches)
Chipset: Intel G41 Express
Memory sockets: 2 x DDR3
Front side bus speeds: 1333/1066/800 MHz
Processor socket: 775
Expansion Slots:
1 PCI Express x16 slot for graphics card
2 PCI Express x1 slots
1 PCI slot
1 PCI Express x1 minicard slot

And i was thinking of overcloking my pentium dual core E2140, i heard they are nice to oc.

Solution
yes, depending on the MOBO bios config, I think you may be able to do a little OC to your CPU,cause that mobo is not made for OC activities, so just make sure to dissipate of all the addicional heat from your CPU area.
