Upgrade advice needed:

Current System Specs:

Motherboard
GIGABYTE GA-MA790X-UD4P (http://www.gigabyte.com/products/product-page.aspx?pid=3038#ov)
Processor
AMD Phenom(tm) II X4 940 Processor
Video Card
ATI Radeon HD 4800 Series
Memory
4 GB RAM (x2, 2 slots still open)
OS
Microsoft Windows 7 Professional Edition Service Pack 1 (build 7601), 64-bit
PSU
Old PowerTek 770w (still running strong though *shrug*)

Reason for Upgrading:
Just built a new PC, but wish to upgrade this one so a friend can play Co-op games with me.
New(er) games are really starting to show this PC's age - for example Batman Arkum City will have frames stutter when in fights with several thugs.
Upgrade Question:
Can I keep the motherboard and just upgrade the processor, ram & video card?
If so, what processor & video card will the board handle?
Additionally I planned to just take out the 2 older sticks of ram and replace with an 8GB stick of Corsair Vengenance ram, if the board can handle it.

Goals (if viable)
Looking to keep the board, PSU, case (Lian Li) if possible to lower costs; because a recent, new system build already has wife feeling vindicated to buy new furniture and stuff as it is!

Budget:
About $500?? Guessing around $200 - $250 for Processor, $250 +/- some for video card.

Thanks in advance for any help from you guys, I can build a new PC, but have a harder time figuring out if an older mobo is still viable for upgrading or not, so thank you.
