HTPC Powers On, Does Not Boot - Fried CPU?

Home built HTPC, Biostar H77MU3, Celeron G540, <1 year old. All of a sudden stopped working. TV says "no signal". I confirmed cables are working, but same thing happens with known working monitor. I tried booting the computer yesterday and lo and behold it came on and displayed properly. I ran the computer for about 2 hours with no issue. So that rules out defective cables and motherboard.

Then the next time I tried again, and once again no display or anything. Upon closer inspection, I determined that the computer is powering on but not booting. First I looked at CPU and heat sink to see if anything looked bad there. Then I tried taking out one of the 2X2 GB memory sticks and - lo and behold - it boots properly. Ran for 1 hour, however, I noticed CPU temp was high. Turns out heat sink was not properly re-seated. I fixed that, but now the issue has recurred again! I tried unplugging AC as well as resetting CMOS.

Is it possible that both memory sticks have gone bad? Or could it be CPU? I did notice that the stock thermal paste has turned into a very hard dry crust. I am desperate for help/ideas. Thanks.

PS Green LED lights on the front of the case come one. Red light briefly flashes then turns off. Attached devices are getting power. CPU fan and case fan continue spinning but booting seems to stop at that point (it is hard to tell because I have SSD and the machine does not make much noise during boot except for fans).
