Low power cpu for pxe and streaming server

I am looking at building a pxe/streaming server. I will be using Ubuntu 13.04 minimal iso with nfs and samba.
Nfs for openelec clients
Samba for windows computer that I have ripping my movies.

I have found a motherboard/cpu combo. Asrock e35lm1
Would this be powerful enough to handle what I need? Adding 4gb of ram too. It will run 24/7

It is about $350. I am thinking about upgrading to somrthing better. That is for motherboard, cpu, ram, ssd, power supply, and case. I already have the hdd

Hour away isn't bad. You could get a better deal possibly going there. I live an hr and half from one. I go there and usually make a day out of the whole trip. Soon as my friend buys my i5 750 rig, I will be going there for some hardware to upgrade my old AMD franken htpc.
