I just bought a EVGA 780 Ti,my specs are Z87 Sabertooth,I7 4770k,16 gigs Ripjaws(1866),1200 Watt Rosewill PSU.

My question is do I have to overclock my CPU for gaming,all I have is the stock fan,I don't want to overclock the GPU no real need.
I just do not want to bottle neck it at stock numbers.

Also should I put my old GTX 580 GB into the second slot for physx or will it just increase my powerbill more than my performance?

You won't have to overclock, the 4770k at stock will run great and won't bottleneck a 780ti, or even a couple of them in sli.
You can use the 580 as a PhysX card if you want, but I wouldn't. It will, as you mentioned, use a fair bit of power and will also generate heat.
