I tried to fit the overclocking in my budget ($1200) I don't want to make any changes unless there is a good motherboard with the same price and is good for overclocking thought of adding a h100i and a 130$ motherboard for overclocking but that would of gone a couple hundred dollars beyond my budget- anyways, how well can I overclock my processor and graphics card with this build while still being safe and not breaking anything? will it be a significant change? if not should I just upgrade to a 4.0ghz 8350 lose the cooler and maybe get a cheaper motherboard to save me some money for something else? what would you recommend me to do and what is the best route to take on this?

You should easily be able to overclock the 8320 with this setup and achieve 8350 performance. With that being said, you could go this route or another suggestion would be to lose the cooler for now and sink the extra money into the 8350 and just keep the stock cooler with it until you have a little extra cash to buy an aftermarket cooler so you can overclock the 8350. That would be my choice. As far as downgrading on the mobo I wouldn't recommend that at all. The m5a97 would be about as low as you'd probably want to go.
