I have a Gigabyte mobo GA965P-DS3 (intel965) with a Intel Core Duo E6700 @ 2.67GHZ. I was thinking of dropping in a Core 2 E8600 @ 3.33GHZ. Maybe $170 for the new cpu, is it worth the money and how much gain in speed if any? Thanks.

I would say... No, unless you really can not spend a penny more. Based on my favorite comparison chart (http://www.tomshardware.com/reviews/gaming-cpu-review-o...) it is on the edge of not being significant enough for you to really see a difference. Plus $170 is a lot more than an i3 which will outperform it: Plus it is getting close to an i5 in cost. So... I would really see if you can upgrade your Mobo as well - maybe a "cheap" solid ASUS for either Gen-3 or Gen-4 i3?

No it's not worth the money. For that price you could almost buy a new motherboard/Cpu/ram.

PCPartPicker part list / Price breakdown by merchant / Benchmarks

CPU: AMD FX-6300 3.5GHz 6-Core Processor ($117.97 @ SuperBiiz)
Motherboard: Asus M5A97 LE R2.0 ATX AM3+ Motherboard ($69.99 @ Microcenter)
Memory: Crucial Ballistix Sport 8GB (2 x 4GB) DDR3-1600 Memory ($59.99 @ Newegg)
Total: $247.95
(Prices include shipping, taxes, and discounts when available.)

This at least is current generation and has the ability to be upgraded again with new parts. I certainly wouldn't spend 170 dollars for old parts like what you mentioned.
