Extreme FPS Drop. Bad Motherboard, RAM?

I have been encountering fps drops from 30+ to 1-2 without any in game reason. For example, in SC2, I'll be looking at my base, at the beginning of the match, and all of a sudden it will lock up, after a few minutes it will go back to normal, though it does come back after a while.

My first assumption was temperature, of either the cpu or gpu, nope, according to core temp I'm not breaking 50C. The next thing I tried was just to lower the graphics settings, even if I change them to low, while the lag is happening, nothing happens. If I begin playing on low, the issue will still occur. My GPU doesn't seem to be hitting too high of a temp as well, maybe 60C max.

One thing that I've noticed, when the lag happens, my cpu usage on all 4 cores hits 100% and sticks there (maybe 95-100%), after a bit the cpu usage goes back to 40-50% and the game returns to normal. Also, with my two 4GB sticks of ram, my memory usage doesn't seem to ever go over 4GB. It'll get to 4GB but not want to go over that. Once the ram usage drops away from that 4GB mark, the game goes back to normal. I suspected a bad stick, so I pulled one out and attempted to boot with one stick in slot 2, wouldn't do anything except turn on the fans. I switched that module over to slot one, booted right up. I still get the lag spikes but now I'm at a loss as to what is going on. I am currently thinking that I either have bad RAM, or a bad motherboard.

I had been toying with overclocking my cpu, I know the motherboard isn't really designed to do that, but I did get it to 2.9 GHz stable in prime95, it just wasn't stable at 3 GHz. I never overheated anything, but I suppose it's still more stressful than stock speeds. Since the problem occurred I put the cpu back to 2.4, reset all settings on the mobo, updated bios, virus and malware checks.

I don't know what else to test/check.

CPU: Core 2 Quad Q6600 (stock) with Xigmatek Loki cooler
Mobo: MSI G41M-P26
RAM: 8GB DDR3 1066 Kingston
GPU: EVGA GTX 660 OC
PSU: EVGA 600W
HDD: 500GB WD
Windows 7 Pro 64-bit

I did check that as well. The percentages don't even add up to 100% when the lag is occurring. I'll see Game 50%, Skype 10%, misc others another 10-20% but then that's it. Only 70-80% or so accounted for in task manager...not sure what that implies though.

The memory not booting in slot 2 should not cause alarm as per your motherboard manual "To ensure successful system boot-up, always insert the memory modules into DIMM1 first." This means a memory module needs to be in slot 1 in order for the system to POST or boot properly. To be sure it's not the memory causing the issue you can run Windows Memory Diagnostic from the control panel. Here are instructions from Microsoft on how to do so: http://windows.microsoft.com/en-us/windows7/diagnosing-memory-problems-on-your-computer . I would suggest to run the test on each module individually in the DIMM1 slot. If this test comes back with errors, we can set up a warranty replacement for the memory which should resolve the issue. If errors continue than the issue would then point to your motherboard or CPU. I'm not positive, I will check when I get off work. What processes are hidden? Are they system tasks?

While reading through another forum post, someone mentioned my smart fan target. My cpu fan is loud at 100%, so I enabled a smart fan target at 50C and set my minimum fan speed to 37.5% (or something like that). My assumption was that if the cpu hit 50C it would just ramp the fans up, is it possible that it's downclocking or something? I'd be happy to have my computer be a little louder if I could play it.
