Upgrading CPU/Mobo/Ram - What do I need to know?

Hi fellas

I am looking to upgrade my system quite substantially but have never done a major upgrade before. I want to change the mobo, CPU and Ram while keeping the same GPU, PSU and case.
(Specs below).

Will I need a new copy/install of Windows? Can I use the same license somehow? What should I expect once everything is plugged in when I turn it on?

These are the components I intend to buy - any comments/suggestions of alternatives would be welcome.

CPU: Intel i5 3570k 3.4ghz
Ram: Corsair Vengeance 8gb
Mobo: Asus P8B75-M B75 Socket 1155.

I currently have a case limited to fitting a mATX mobo. Is this a problem performance wise? Looking at this thing mostly for gaming.
