Bottleneck: GTX 570 or Phenom II 965

Hello all,
I am wondering which component to upgrade in my desktop. It is purely a gaming rig. I only play at 1920x1080 and don't plan on upgrading my monitor anytime soon just wanna get 120fps at max settings like I used to.

Currently I have:
Mobo: GIGABYTE GA-990FXA-UD3 AM3+ AMD 990FX
CPU: AMD Phenom II BE 965 3.4ghz
GPU: Nvidia GTX 570 800mhz 2.5gb
PSU: BFG EX-1200 1200w
RAM: Corsair Vengeance 8gb 1600hmz
Monitor: Acer GD235HZ 120hz <2ms response time

My budget is around $200. I was leaning towards a second GTX 570 cause I found one for only $130. I think that would give me the best bang for my buck, cause if I swap the 570 with something else it probably be the 670 which is only marginally faster and costs about $250.

I was also considering a CPU upgrade, I've had this Phenom II about 3 years now. But then I thought maybe I should just try some over-clocking. I have a giant Noctua heat-sink with 2x 140mm fans. And my case has 2x 250mm, along with some smaller ones.

What are your thoughts? Is the GTX 570 too old to be buying another one? Is overcloking the CPU worth it, or is that not my bottleneck?
 
Generally speaking, the "bottleneck" occurs at the CPU. Since a GPU is designed to run independently (having its own RAM and Processor), the exchange of information is slowed when the CPU isn't keeping up. I would definitely start by OC-ing that 965; you can easily achieve 4.0GHz on air cooling. I was able to boot my 945 at 4.0, but only able to keep it stable at 3.9.
