I would recommend a Pentium G2130. It won't be a massive performance boost, but it's rather cheap, will use less power, operate at a lower temperature and uses a newer socket which allows for future upgrades and faster transmission. A more expensive CPU would be the i5 3570k which will give much better performance as well as all the above perks.

I would go with the FX 8320 and a 125w capable board like Gigabyte GA-78LMT-USB3. The CPU can be multiplier bumped to FX 8350 speeds without issue, since the 8350 is also a 125w cpu. FX 8350 trades blows with i5's and i7's depending on benchmark or game.

thanx for reply but i have only 430 watt psu with 32A on 12V rail, is it sufficient to provide enough juice as i've a bit high end card also

how about going with fx 6300 with a decent 970 chipset, so that i can put it to 4.0ghz , only if required
(200fsb *20 multiplier) which comes around 108W, which i feel is better than a 3.5ghz 8320 @125W. so that i can try to minimize buying a new psu, (btw my current cpu is 95w tdp running without any issues along with gtx 560ti @full load)

what i mean to say is fx 6300 is 95w tdp, (@3.5ghz), but if i overclock it to 4ghz (overclocked tdp is around 108w @4ghz) which i feel is much better than 8320 @stock (125w tdp) in almost every aspect.
