Hi,
I am planning to upgrade my system.

MY CURRENT RIG:
PROCESSOR: Intel Core i3 CPU 540 @ 3.07GHz (1st gen)
MOTHERBOARD: Intel DH55TC Motherboard (LGA1156 Socket Type)
GPU: Asus GTX 550Ti 1 GB
PSU: 550W
RAM: 4 GB DDR3 1333MHZ

Due to tight budget, i can buy either "GTX 760" graphics card or "Amd FX 8350" Processor and a motherboard.

I bought this processor ( Intel Core i3 CPU 540 @ 3.07GHz) before 3 years. Whether its good to pair it with GTX 760? Currently i have GTX 550Ti.

Or whether i should buy a new processor. Probability FX 8350. Whether it will be good when it is paired with GTX 550Ti.

Unfortunately i can get any one only. budget $300. Please help guys. I will be happy if i can play in medium settings for next 2-3 years.

Since the i3 is a dual core, and a bit outdated it may botleneck a bit, in some CPU intensive games like skyrim and so on, it would have some dificulties. your 550ti is still good so i would advice you getting a new board and CPU, either amd option with a fx8350 or an i5 is good.
Also what brand is your PSU, if its not a good brand like xfx, antec corsair or such, and is a generic PSU you will also have to buy one when you plan on getting the 760.

Thanks for the reply. I planned to get fx 8350 instead of intel because, i heard that future games will be utilizing 8 cores. I have also planned to pair it with ASRock 970FX Extreme4 motherboard.
My PSU is Cooler Master 550w
